• Free Desktop Edition: Single-user license, unlimited use, local database storage.
• Cloud Add-on (Paid): Multi-user sync, web access, automated backups — one-time purchase of $99.

2. License Grant

2.1 Free Desktop Edition

We grant you a non-exclusive, non-transferable, perpetual license to use the free desktop edition for personal or commercial purposes. You may install it on any number of computers you own or control.

2.2 Paid Cloud Add-on

Upon purchase, you receive a license key that unlocks cloud synchronization features. This license is:

• Perpetual (one-time payment, no recurring fees)
• Valid for one user account
• Non-transferable without our written consent

3. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the Software
• Redistribute, sell, or sublicense the Software without authorization
• Use the Software for any illegal purpose
• Attempt to gain unauthorized access to our systems or services
• Share license keys with unauthorized third parties

4. Payment and Refunds

All payments are processed by Paddle.com Market Limited (our Merchant of Record). They handle billing, taxes (VAT/GST/Sales Tax), and payment security.

• Pricing: As displayed on our website at the time of purchase.

• Taxes: All applicable taxes are calculated and collected by Paddle based on your location.

5. Data and Privacy

Your use of our Software and website is also governed by our Privacy Policy. Key points:

• You can export all your data at any time (CSV/Excel).

6. Disclaimer of Warranties

We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITALL TECHNOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim.

8. Intellectual Property

All rights, title, and interest in the Software, website, and associated materials remain with Digitall Technology. Our trademarks, logos, and brand elements may not be used without written permission.

9. Termination

We may terminate or suspend your access to paid services if you violate these Terms. Upon termination:

• Your license key will be deactivated
• You retain access to the free desktop edition
• Your local data remains unaffected

10. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance. We will notify registered users of material changes via email.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles.
